Sweepstakes Terms and Conditions

NO PURCHASE NECESSARY.

1. SWEEPSTAKES DESCRIPTION

The “Free NAYA for a Year” sweepstakes (the “Sweepstakes”) begins on August 8, 2024 at 12:01 a.m. Eastern Time (“ET”) and ends on September 8, 2024 at 11:59 p.m. ET (the “Sweepstakes Period”) and will consist of one (1) independent drawing. During the Sweepstakes Period, entrants have the opportunity to enter the Sweepstakes drawing by completing an entry form available online at www.eatnaya.com/naya-300park-sweepstakes/ or at NAYA 488 Madison Avenue, New York, NY 10022. By participating in the Sweepstakes, each entrant fully unconditionally accepts and agrees to comply with and abide by these Terms and Conditions and the decisions of NAYA GROUP, LLC, 54 West 56 Street, New York, NY 10019 (“NAYA”), which shall be final and binding in all respects.

2. SWEEPSTAKES PRIZE:

Limit one (1) prize per eligible entrant for the Sweepstakes. One (1) prize is available. The prize will consist of one (1) “Free NAYA for a Year” as defined below.

A NAYA VIP Card, which entitles them to one free entree, bowl, roll, or salad per day, for one year, during open for business days,  at our NAYA 300 Park Avenue, New York, NY 10022 location only. The approximate retail value (“ARV”) of the prize is ($3676.40). The NAYA VIP Card will expire one (1) year from the date the NAYA VIP Card is issued.

For clarity purposes, “regular entree item” means a NAYA bowl or roll, subject to availability. Does not include kids’ meals. 

Prize Conditions:

• The prize is non-transferable, and no cash or other substitution is permitted, except NAYA reserves the right in its sole discretion to substitute a prize of comparable value if any prize is not available, for any reason. 

• The prize is limited to dine-in orders at the NAYA location at 300 Park Avenue, New York, NY 10022.

• The redemption period for the prize begins on the day the winner received their NAYA VIP Card and expires one year later.

• The NAYA Card must be presented at the time of redemption.

3. ELIGIBILITY: 

The sweepstakes is open to all legal residents of the fifty (50) United States and District of Columbia who are at least 18 years of age at the time of entry and are registered for the NAYA App. Officers, directors, employees of NAYA, its affiliates, subsidiaries, advertising, and promotion agencies, and immediate family members or those living in the same household of such employees are not eligible to enter the sweepstakes. This promotion is void where prohibited or restricted by law. 

If an entrant does not have a NAYA App account, the entrant can create one for free at www.eatnaya.com

4. SWEEPSTAKES ENTRY:

Participants may submit an entry form at www.eatnaya.com/naya-300park-sweepstakes/ one (1) time during the Sweepstakes Period, using the email address associated with your NAYA App account. If your email does not correspond to a NAYA App account, you will not receive an entry. All entries for the Sweepstakes must be received by the end of the applicable Sweepstakes Period in order to participate. NAYA’s entry form submission database will be the official timekeeper and proof of receipt for the Sweepstakes.

Entry must be made by the entrant, only through the entry method described above.  Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address, including but not limited to commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for the Sweepstakes Tampering with the entry process or the operation of the Sweepstakes, including but not limited to the use of any device to automate the entry process, is prohibited and any entries deemed by NAYA, in its sole discretion, to have been submitted in this manner will be void.  In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to NAYA’s satisfaction, the affected entry will be deemed ineligible.  NAYA shall not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in the Sweepstakes.  NAYA assumes no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries.

5. WINNER SELECTION AND NOTIFICATION: 

At the end of the Sweepstakes Period, on (DATE), one (1) winner will be selected through an independent drawing under the supervision of NAYA using randomization methods selected by NAYA in its sole discretion. The potential winner will be notified by email within five days following the drawing using the contact information given at the time of entry. The email must be associated with their NAYA App account. NAYA shall have no liability for a winner's failure to receive notices due to spam, junk e-mail, or other security settings or for a winner's provision of incorrect or otherwise non-functioning contact information.

Conditions of Acceptance: The winner must claim their prize within 7 days from the date of notification. Acceptance of the prize constitutes permission for NAYA to use the winner's name, likeness, and entry for purposes of advertising and trade without further compensation, unless prohibited by law.

If, despite reasonable efforts, a potential winner does not respond within the time period specified in the prize notification, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit their prize and an alternate winner may be selected. If any potential winner is found to be ineligible, or if they have not complied with these Terms and Conditions or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected. NAYA may successively attempt to contact up to two (2) potential winner(s) of an applicable prize in accordance with such procedure, and if there is still no confirmed winner(s) of such applicable prize after such attempts have been made, if any, such prize may go unawarded.

Terms of Redemption: The Winner agrees to comply with all applicable laws, rules, and regulations in connection with their participation in the sweepstakes and redemption of the prize. NAYA reserves the right to modify, suspend, or terminate the sweepstakes if it becomes infected by a computer virus or is otherwise technically impaired, and to cancel or suspend the raffle in its entirety should tampering, unauthorized intervention, fraud, technical failures, or other causes corrupt the administration, security, fairness, integrity, or proper operation of the raffle.

Liability Limitation: By entering, participants release and hold harmless NAYA and its subsidiaries, affiliates, directors, officers, employees, and agents from any and all liability for any injuries, loss, or damage of any kind arising from or in connection with the raffle or receipt or use and/or misuse of any prize.

Dispute Resolution: Disputes regarding this raffle will be resolved under the laws of the State of New York, without regard to its conflicts of law principles. All claims must be resolved in the state or federal courts located in New York.
